1. Acceptance of Terms
Welcome to NovaLearn! By accessing or using the NovaLearn website (www.novalearn.com), mobile application, and any related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you and NovaLearn, a company registered in Toronto, Ontario, Canada with its principal place of business at 123 University Avenue, Toronto, ON M5J 2H7. If you do not agree with these Terms, you may not access or use the Services.
2. Account Registration
To access certain features of the Services, you may be required to register for an account. When you register for an account, you agree to provide accurate, current, and complete information about yourself as prompted by the registration form and to maintain and promptly update your information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and are fully responsible for all activities that occur under your account. You agree to notify NovaLearn immediately of any unauthorized use of your account or any other breach of security.
3. Course Enrollment and Access
Upon successful enrollment in a course, NovaLearn grants you a limited, non-exclusive, non-transferable license to access and view the course content for personal, non-commercial use. You may not share your account credentials with others, and you may not reproduce, distribute, or create derivative works from the course content without the express written permission of NovaLearn. Course fees are subject to change without notice. NovaLearn reserves the right to modify or discontinue any course at any time.
4. Payment and Refunds
Payment for courses is due at the time of enrollment. NovaLearn accepts various forms of payment, including credit cards and online payment services. All payments are processed securely. NovaLearn offers a 30-day money-back guarantee for most courses. If you are not satisfied with a course for any reason, you may request a full refund within 30 days of enrollment. Refund requests must be submitted through the NovaLearn website or by contacting our customer support team at [email protected]. Certain courses may not be eligible for refunds, as clearly indicated in the course description.
5. User Content
You may have the opportunity to submit content to the Services, including comments, forum posts, and assignments ("User Content"). You retain ownership of your User Content, but you grant NovaLearn a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content in connection with the Services. You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that your User Content does not violate any third-party rights, including copyright, trademark, privacy, or publicity rights.
6. Intellectual Property
The Services and all content included on the Services, including text, graphics, logos, images, audio clips, video clips, and software, are the property of NovaLearn or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use any NovaLearn trademarks or logos without the express written permission of NovaLearn.
7. Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Use the Services for any unlawful purpose.
- Post or transmit any content that is defamatory, obscene, harassing, or otherwise objectionable.
- Interfere with or disrupt the Services or servers or networks connected to the Services.
- Attempt to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks connected to the Services.
- Use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission.
- Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Upload or transmit viruses or other malicious code.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NOVASHARE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9. Limitation of Liability
IN NO EVENT SHALL NOVASHARE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF NOVASHARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL NOVASHARE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES.
10. Indemnification
You agree to indemnify and hold NovaLearn and its affiliates, officers, directors, employees, and agents harmless from any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or in connection with your use of the Services or your violation of these Terms.
11. Termination
NovaLearn may terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to access and use the Services will immediately cease. Sections 5, 6, 8, 9, 10, and 12 of these Terms will survive termination.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the courts of Ontario.
13. Changes to Terms
NovaLearn reserves the right to modify these Terms at any time. We will post any changes to these Terms on the NovaLearn website and will indicate the date of the last revision. Your continued use of the Services after the posting of any changes constitutes your acceptance of the revised Terms. It is your responsibility to check the terms periodically for changes.

15. Entire Agreement
These Terms constitute the entire agreement between you and NovaLearn relating to the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and NovaLearn with respect to the Services.
16. Waiver
No waiver by NovaLearn of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of NovaLearn to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
17. Severability
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
